The agreement between a Founding Sponsor and The Starling Collective.
These Founding Sponsor Terms ("Terms") govern the sponsorship relationship between The Starling Collective ("we," "us," "the Collective") and the business enrolling as a Founding Sponsor ("Sponsor," "you"). By enrolling and submitting payment, you agree to these Terms.
As a Founding Sponsor, on a reasonable-efforts basis, you receive:
We provide these benefits on a reasonable-efforts basis. Exact placement, frequency, and presentation are at our reasonable discretion and consistent with our brand.
Sponsorship provides visibility and association only. We do not guarantee any sales, leads, customers, member purchases, traffic, or other business results. Our community is growing and intentionally small; you acknowledge you are sponsoring an emerging brand and are not purchasing guaranteed outcomes.
Sponsorship never includes placement on, or influence over, any trip itinerary, supplier selection, or recommendation made to our members. We do not steer our members' purchasing decisions. Our members' trust is fundamental to the Collective, and it is never for sale. Sponsorship confers visibility and association — not editorial influence.
Exclusivity means we will not enroll another Founding Sponsor in your specific, named category while your sponsorship is active. It does not restrict us from featuring, partnering with, or recommending any business or product in the ordinary course of operating trips, nor does it grant you any right over adjacent or differently-defined categories. We determine category definitions in good faith.
Sponsorship is billed at the founding rate selected at enrollment — either monthly (recurring) or as a prepaid annual amount. Monthly sponsorships renew automatically each month until cancelled. Prepaid annual sponsorships cover a twelve-month term. Failure to complete payment (including a failed or declined recurring charge) may result in suspension or termination of benefits and release of your category to another sponsor.
Your sponsorship continues for as long as it remains paid and active. Your founding rate is locked for your continuous, active sponsorship, and you hold first right to renew your category. If your sponsorship lapses, we may release your category and your founding rate may no longer be available.
You may cancel a monthly sponsorship at any time; cancellation stops future monthly billing, and benefits end at the close of the paid period. Prepaid annual sponsorships are non-refundable except as required by law or as otherwise agreed in writing. [Attorney to specify any pro-rata or refund terms.]
We may decline, suspend, or terminate any sponsorship at our discretion — including where a Sponsor's brand, conduct, products, or values are, in our reasonable judgment, inconsistent with the Collective's mission and values. If we terminate a sponsorship without cause, we will refund any prepaid amount covering the unused portion of the term.
You grant us permission to display your name, logo, and brand assets for the purpose of fulfilling your sponsorship. We grant you permission to identify yourself as a "Founding Sponsor of The Starling Collective" while your sponsorship is active. Neither party may use the other's marks in any other manner without prior written consent. Each party retains all rights to its own marks.
To the fullest extent permitted by law, our total liability arising from a sponsorship is limited to the amount you paid for the then-current sponsorship term. We are not liable for indirect, incidental, or consequential damages. [Attorney to complete liability, indemnification, and dispute-resolution terms.]
We may update these Terms; the current version always lives on this page. Material changes affecting active sponsors will be communicated to those sponsors.
